Welcome to AFHG Media (“AFHG Media”, “we”, “us”, or “our”). These Terms of Service (the “Agreement”) govern your access to and use of our website https://www.afhgmedia.net and all services provided by AFHG Media, including but not limited to digital content creation, media consulting, marketing services, web development, and other related offerings (collectively, the “AFHG Media Services”).
By accessing or using the AFHG Media Services, or by signing any service agreement with AFHG Media, you agree to these Terms. If you do not agree, you may not use our services.
1. AFHG Media Services
1.1 Registration. Certain services may require you to create an account. You agree to provide accurate information and maintain the confidentiality of your login credentials. You are responsible for all activity under your account.
1.2 Privacy. Your use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information.
1.3 Age Restriction. AFHG Media Services are intended for individuals 18 years of age or older. Minors may use the services only with the consent of a parent or guardian.
1.4 Access and Use. We grant you a non-exclusive, non-transferable right to access and use the AFHG Media Services, subject to this Agreement. We retain all ownership rights in our services, technology, and content.
1.5 User Content. You retain ownership of any content you provide (“User Content”), but by submitting it to AFHG Media, you grant us a license to use it to deliver services, improve our offerings, and comply with legal obligations. You are solely responsible for your User Content.
1.6 User Conduct. You agree not to:

• Upload illegal, harmful, offensive, or infringing content.

• Impersonate others or provide false information.

• Disrupt or interfere with AFHG Media Services.

• Collect or harvest data from other users without permission.

• Upload malware or engage in unauthorized access of our systems.

1.7 Third-Party Services. Any third-party software or services integrated with AFHG Media Services are subject to their own terms. AFHG Media is not liable for third-party content or interactions.
1.8 Interactions with Others. You are solely responsible for interactions with other users or clients. AFHG Media is not a party to disputes and is released from any claims arising from such interactions.
2. Fees and Payments
2.1 Fees. If you purchase paid services, you agree to pay all fees as described in your service agreement. Payments are due as specified and are non-refundable unless stated otherwise.
2.2 Taxes. You are responsible for all applicable taxes associated with your use of AFHG Media Services.
2.3 Changes to Fees. We may adjust fees with prior notice. Any changes will apply to services billed after the notice period.
2.4 Free Services. Free services may be offered at our discretion and may be limited in scope. Misuse may result in suspension or termination of access.
3. Term and Termination
3.1 Term. This Agreement begins when you first use AFHG Media Services and continues until terminated.
3.2 Termination. Either party may terminate with written notice if the other materially breaches this Agreement and fails to remedy within 30 days, or upon insolvency or bankruptcy. AFHG Media may suspend services immediately for non-payment or violation of this Agreement.
3.3 Effect of Termination. Upon termination, you must stop using AFHG Media Services and return or destroy any confidential information. Certain provisions (ownership, confidentiality, liability) survive termination.
4. Intellectual Property
4.1 Ownership. AFHG Media owns all rights in our services and content. Your use does not grant any ownership rights.
4.2 Restrictions. You may not:

• Reverse engineer or copy AFHG Media Services.

• Use our services to create competing products.

• Claim AFHG Media content as your own.

4.3 Feedback. Any suggestions you provide may be used by AFHG Media without compensation.
4.4 Confidentiality. You agree to maintain the confidentiality of information designated or reasonably understood to be confidential.
4.5 Aggregated Information. AFHG Media may collect anonymized and aggregated data from service usage to improve services.
5. Disclaimers and Limitation of Liability
5.1 Disclaimer. AFHG Media Services are provided “as is” and without warranties. We do not guarantee uninterrupted or error-free service.
5.2 AI-Generated Content. Content generated using AI technologies is not guaranteed to be accurate or factual. You are responsible for verifying any information before use.
5.3 Limitation of Liability. To the maximum extent permitted by California law, AFHG Media is not liable for indirect, incidental, or consequential damages. Our total liability is limited to the amount paid by you in the six months preceding the claim or $100 USD.
6. Dispute Resolution
6.1 Arbitration. Any dispute arising from this Agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Los Angeles, California, unless otherwise agreed. You waive the right to participate in class or representative actions.
6.2 Pre-Arbitration Notice. Parties must provide written notice of disputes and attempt to resolve them before arbitration.
6.3 Costs. Arbitration costs will be governed by AAA rules. AFHG Media will cover fees if the relief sought is $75,000 or less or if arbitration is cost-prohibitive for you.
7. Additional Terms
7.1 Third-Party Distribution Channels. Mobile apps or software distributed through Apple or Google are subject to their additional terms.
7.2 Governing Law and Jurisdiction. This Agreement is governed by California law, and any non-arbitrable disputes shall be resolved exclusively in the state or federal courts located in Los Angeles, California.
7.3 DMCA and Copyright. AFHG Media respects intellectual property rights. If you believe your content is infringed, notify us through our DMCA Policy.
7.4 Severability. If a provision is found invalid, the remainder of the Agreement remains in effect.
7.5 Entire Agreement. This Agreement constitutes the full understanding between you and AFHG Media regarding the Services.
